Roles Offered by Banca Sistema (an Intermediary Authorised by the Bank of Italy)
Master Servicer: Ensures that the transaction complies with the Prospectus and applicable regulations. Appointed by the special-purpose vehicle (SPV), it manages the securitised portfolio and administers cash and payment services. Where certain credit management and collection activities are delegated to specialised third parties (Sub-Servicers), Banca Sistema supervises and monitors their operations to maximise noteholders’ interests.
Special Servicer: Manages and collects securitised receivables, maximising recoveries for investors and other parties involved.
Calculation Agent: Calculates the amounts payable to noteholders and agents according to the payment priority established in the waterfall structure. It also prepares investor reports in accordance with Regulation (EU) 2017/2402 on securitisation.
Paying Agent e Centro Servizi: Manages payments to investors through the Euronext Milan platform, ensuring that funds are distributed accurately and promptly to holders of the issued securities.
